If you are a Resonate Co-op member-owner, please sign up for a user account in this forum using the same email address you used for your Resonate user account. Note that there is a difference between a Resonate user account and a membership. You may only vote if you are:

  • a Listener Member who has paid the 5-10 EUR listener membership fee within the last year
  • a Music-maker Member who has uploaded music to the platform within the last two years

Ordinary resolution to simplify qualifying labour contribution

WHEREAS section 10.i. states that a qualifying contribution for membership may be defined by ordinary resolution at a General Meeting,

WHEREAS the current qualifying contribution for Worker Membership would be complicated to track or manage, due to establishing three different systems between which a single worker might transition depending on their work relationship with the co-op :

“THAT the minimum qualifying contributions for a [Worker] Member be as follows;

(i) 80 hours of paid work as an employee of Resonate over a three month period
(ii) 40 hours of paid work as a contractor to Resonate over a three month period
(iii) 20 hours of unpaid work as a volunteer/intern of Resonate over a three month period”

THEREFORE LET IT BE RESOLVED THAT the qualifying contribution for a Worker Member be changed to:

40 hours of work over a six month period

WHEREAS Resonate almost exclusively relies on member support to pay for critical infrastructure

WHEREAS Cost of servers and other services has gone up in the past year

WHEREAS A monthly recurring payment makes it much easier for us to project our income month to month

THEREFORE LET IT BE RESOLVED that the Qualifying Contribution for Listener Membership be changed from an annual fee of €10 to a monthly fee of €3, or €36 annually.

THEREFORE LET IT BE RESOLVED that Resonate members can choose to pay a higher monthly membership payment, but that this will not impact their votes as outlined in the bylaws.

THEREFORE LET IT BE RESOLVED that the membership fee can be waived by the Resonate board for prospective members experiencing financial precarity

WHEREAS writing down expectations of a role helps build a common understanding

WHEREAS codes of conduct are proven ways to create accountability and transparency in a community

THEREFORE let it be resolved that the worker member class is beholden to the following code of conduct:

We foster transparent work and communication.
We make sure everyone who has a stake in a piece of knowledge is aware of it. We favor transparency over silos.
We stay informed of what projects are happening and why.
We inform worker members regularly about our availability, activities, and workload.
We track our work hours in a way that is viewable by all worker members, making note of which goal or role our hours are aligned with.
We practice collective decision-making for topics that are large, forward-thinking, or which affect us all.
We trust our intelligence as individuals in making decisions that are small, reversible, or in our area of expertise.
We make sure there are individuals and groups responsible for tasks getting done.
We don’t micromanage those whom we entrust with a responsibility.
We experiment and make time together to reflect on our experiments.
We all take turns teaching and learning.
We listen more than we talk.

WHEREAS Services like Bandcamp charge a 15% fee on digital purchases;

WHEREAS Other platform co-ops like Comradery (2.5%) and Ampled (7%, 10%, 13%) take much lower percentages;

THEREFORE LET IT BE RESOLVED that Resonate’s base cut per stream will be 15%.

WHEREAS Platforms, technology companies, and corporations should not dictate the terms of distribution;

WHEREAS The current stream2own model makes it very expensive for a user to buy an album of many short songs;

WHEREAS The current stream2own model provides very little income for artists with albums with a few long songs;

WHEREAS Services like Bandcamp charge a 15% fee on digital purchases;

THEREFORE Let it be resolved that Resonate will allow artists to set a price for purchase of albums, alongside current purchase options;

THEREFORE Let it be resolved that a purchased album will mark all tracks on the album as purchased;

THEREFORE Let it be resolved that Resonate will not take more than a 15% cut for album purchases.

WHEREAS Resonate has operated as a co-operative for five and a half years without reaching 30000 members;

WHEREAS Resonate is committed to internal democracy and an egalitarian internet and society;

WHEREAS Resonate is committed to communal control and democratizing economic activity;

WHEREAS Resonate is against the concentration of power in the hands of a few;

WHEREAS Everyone should own their platform;

WHEREAS Active engagement in culture should be incentivized over passive consumption;

WHEREAS Active engagement means participation in the co-operative and a say in its operations;

WHEREAS Resonate is committed to redistributing power;

THEREFORE LET IT BE RESOLVED that Section 37. Board Composition – Under 30000 Members be amended to:

  1. Board Composition – Under 30000500 Members

If the Cooperative has fewer than [30000]500 members, Board members will be proposed by the Founder Members or existing Board members and approved by Ordinary Resolution.

i. The Board shall elect a Chairperson, Treasurer and Secretary from among their number at the first Board Meeting after each AGM, and may fill all casual vacancies as they arise.

ii. A Board member may be removed at General Meeting by an Ordinary Resolution.

THEREFORE LET IT BE RESOLVED that Section 38. Board Composition – be amended to:

  1. Board Composition - Over 499 members

If the Cooperative has 30001500 or more members, a Board and a Chairperson will be elected annually as follows:

With this resolution not affecting the rest of section 38.

THEREFORE LET IT BE RESOLVED That current board members may finish their terms on the board, until a new board is elected at a General Meeting to be scheduled no later than February 28th, 2023.

THEREFORE LET IT BE RESOLVED THAT anyone running for a board position will be informed publicly and in detail by the current board and executive about the state of Resonate, possibility of wind-down, financials, history, and legal risks to Directors.

Special resolution to ensure wellbeing for Worker Members

WHEREAS section 10.vi. states that the administrative process for the explusion of a Member may be agreed in General Meeting by Special Resolution,

WHEREAS in order to ensure healthy and effective working conditions, Worker Members should have the independent right to remove a harmful or non-contributing person from their work community,

WHEREAS Worker Members should not be dependent on the organization of a General Meeting to act to safeguard their wellbeing and manage the affairs they are most directly impacted by,

THEREFORE LET IT BE RESOLVED THAT Worker Members be granted the right to expel a Worker Member from Worker Membership by a majority vote of Worker Members,

THEREFORE LET IT BE RESOLVED THAT Worker Members may collectively determine how best to organize and manage this voting process,

THEREFORE LET IT BE RESOLVED THAT this voting process be actionable by the collective of Worker Members independently of a General Meeting or class resolution.

THEREFORE LET IT BE RESOLVED THAT this information, and related processes to be determined by Worker Members, will be added to the Handbook (Operating Manual).

THEREFORE LET IT BE RESOLVED That sections 38.i will be amended to:

i. Worker Shareholders will elect ~one~ a maximum of three Board members (one will be subject to re-election by every twothree-years).

WHEREAS the co-operative has founder shareholders who have not engaged with or contributed to the co-operative in years,

WHEREAS such absentee ownership is incompatible with the principles of a co-operative and should not be guaranteed a key governance position,

THEREFORE LET IT BE RESOLVED That section 38.iv. be removed from the Rulebook

Founder Shareholders will elect one Board member, who may be removed only by the Allocations set out in 31(vi).

WHEREAS a two year window for making a qualifying labour contribution does not guarantee a level of engagement and dependability appropriate for Worker Membership,

THEREFORE LET IT BE RESOLVED THAT section 12.ii.e be amended to:

cancelled after six months without making a qualifying labour contribution
