Amendment to equalize class representation on the Board

WHEREAS The Resonate board should fairly represent those most committed to building and using Resonate;

WHEREAS Resonate is, like all organizations, dependent on the labor put in by Worker Members;

WHEREAS a balanced representation of stakeholders is crucial to a functioning cooperative ecosystem;

THEREFORE LET IT BE RESOLVED That sections 38.i will be amended to:

i. Worker Shareholders will elect ~one~ a maximum of three Board members (one will be subject to re-election by every twothree-years).

THEREFORE LET IT BE RESOLVED That sections 38.iii will be amended to:

iii. Listener Shareholders will elect a maximum of twothree Board members (one will be subject to re-election by rotation every twothree-years).

This reminds me of Community Land Trusts, which are a similar multi-stakeholder organization, where residents (33%), the community (33%), and “subject expects” (33%) have equal says on the board.

Since the number of board members aren’t specified anywhere, as far as I can see, declaring a proportional representation of each class like this, rather than declaring direct amounts, is more robust and equitable.
